She graduated from the Faculty of Law and Administration at the University of Warsaw. She is a legal counsel.

She has been working at the Ministry of State Treasury since 2001, at present as Deputy Head of Legal and Litigation Department.
She has gained experience in supervising companies with State Treasury ownership by sitting in supervisory boards of such companies as, among others: Polska Agencja Prasowa S.A. with its seat in Warsaw, Centrum Techniki Okrętowej S.A. with its seat in Gdańsk, Chemia Polska sp. z o.o. with its seat in Warsaw, Międzynarodowa Korporacja Gwarancyjna sp. z o.o. with its seat in Warsaw.

She does not meet the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

Graduate of the Warsaw School of Economics and postgraduate studies in financial and economic law at the University of Łódź. During her long-time employment at the Ministry of State Treasury she held the positions of the Head, Director of Department and Minister Counsellor in units dealing with supervision and ownership restructuring. Since 2005 she has been an appointed Civil Service Officer.

At present she performs the duties of the General Director at the Ministry of State Treasury. She was a representative of the State Treasury in supervisory boards of companies controlled by the ministry, including those listed on the WSE.

She does not meet the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

He graduated from the Faculty of Economics at the University of Łódź and the Faculty of Electrical Engineering at the Technical University of Poznań. He has also earned a PhD from the same Faculty.

He has devoted his professional career entirely to the power industry where he had climbed through all levels in the career ladder from an intern, through foreman, head of Automation Section (at ZE Kalisz and Łódź), Duty Operations Engineer (at EC Łódź), to Chief Engineer and Executive Officer (at ZE Płock and Elektrociepłownia Siekierki). He was also employed as Contract Manager in Libya and President of the Management Board at a consulting company.

He is an honorary President of the Chamber of Power Engineering and Energy Consumers, a consultant in electrical engineering matters, author of many improvement recommendations, designs, publications and books, including “Memories concerning tradition and work habits in power engineering”, “Sentimental reflections on power engineering”, “Polish Electrical Power Engineering”.

He meets the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

Graduate of the Faculty of Law and Administration at the University of Warsaw and postgraduate studies in law and economy of capital market at the Warsaw School of Economics, legal counsel at the Regional Chamber of Legal Counsels in Warsaw.

She gained her professional experience at law firms. At present, she is a legal counsel in the Department of Analyses at the Ministry of State Treasury. In her work, she provides legal support for the Department, in particular in the scope of reviewing agreements for pre-privatization analyses and privatization-related tasks, and participation in the works of commissions for acceptance of analyses ordered as part of privatization processes or contribution of state-owned companies to State Treasury-owned companies.

She is a member of supervisory boards of companies, representing the State Treasury.

Graduate of the Faculty of Law at the University of Warsaw, legal counsel at the Regional Chamber of Legal Counsels in Warsaw, tax advisor.

He gained his professional experience at international advisory companies. He was an arbiter of the Court of Arbitration at the Polish Financial Supervision Authority of the first term of office. At present he is a managing partner of a law firm Czarnik and Partners – Legal Counsels Partnership Company. In his professional practice he specializes in economic law with particular focus on fiscal and commercial law. He is the head of the team of advisors to the Ministry of State Treasury dealing with corporate governance reform and managing some of the elements of the public property.

Mr. Leszek Koziorowski is a graduate of the Faculty of Law and Administration of the Warsaw University, a legal advisor at the Circuit Chamber of Legal Counsel in Warsaw.

At present, Mr. Leszek Koziorowski is the head of the capital markets law department, partner at Gessel Koziorowski s.k. law firm. He is also an arbitrator in the Stock Exchange Court at the Warsaw Stock Exchange and in Arbitration Court at the Private Employers’ Organization “Lewiatan”. Until 1999 he worked at the Securities Commission, most recently as an advisor to the President of the Securities Commission, Vice President of the Examination Board for Investment Advisors at the Securities Commission.

He was a member of numerous supervisory boards, most recently from 14 September 2010 until 15 May 2014 he was the Secretary of the Supervisory Board at TAURON Polska Energia S.A.

He is the author of numerous publications concerning capital market law in such magazines as “Przegląd Prawa Handlowego” (Commercial Law Review), “Prawo Papierów Wartościowych” (Securities Law), “Radca Prawny” (Legal Advisor), “Rynek Kapitałowy” (Capital Market) and “Rzeczpospolita” daily. Many times he was recommended in ranks published by “Rzeczpospolita” daily as the best legal advisor in Poland in the scope of capital market law and pre float preparation. In 2009 he was recommended by “Forbes” magazine as the best lawyer in the scope of capital market law.

He meets the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

PhD, Engineer, long-time researcher and lecturer at the Faculty of Electronics of the Wrocław University of Technology, lecturer at postgraduate studies “Intelligent Electrical Grids”, author of several dozen publications in the fields of telecommunications, IT, as well as political and economic issues.

He worked on restructuring of the Technical University of Wrocław after the year 1990 in the scope of university management and introduction of new postgraduate courses held in English and French. He combines academic career and activity in the economic sector. Several times he held the position of the CEO of large companies including the CEO of PSE S.A. (Polish Transmission System Operator). He was the head or member of numerous supervisory boards. He managed and participated in numerous major Polish and international economic programs, in particular in the field of power engineering.

At present he is the president of the management board of a consulting company Global Investment Corp. and an advisor for strategic programs at BZWBK S.A.

He meets the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

Graduate of the Faculty of Social Sciences of the University of Wrocław. Currently, in the course of preparation of a PhD thesis at the Faculty of Law and Administration of the Cardinal Stefan Wyszyński University in Warsaw, taking part in the Master of Business Administration management studies at the University of Economics in Wrocław.

He has been performing management functions since 2006. At present, he is the First Vice-President of the Management Board of KGHM Polska Miedź S.A. for Supply Chain Management. Previously, he was, among others, member of the Management Board of Przedsiębiorstwo Budowlane ARS Sp. z o.o., President of the Management Board of KGHM Metraco S.A., President of the Management Board of Katowicki Węgiel Sp. z o.o., director of the local branch of Agencja Mienia Wojskowego, director for marketing and development of PUH Brajt.

He has experience in ownership supervision – he was a member of the Supervisory Board of Grupa Energetyczna Katowice Sp. z o.o. and a secretary of the Supervisory Board of EnergiaPro Gigawat Sp. z o.o.

He was a member of the Experts Group of the European Innovation Partnership for Natural Resources. He is the Deputy Chairman of the Council of the Economic Chamber for Non-Ferrous Metals and Recycling.

Mr. Rawecki does not meet the independence criteria referred to in principle II.Z.4 of Best Practice for WSE Listed Companies 2016.

Graduate of Łódź University of Technology (Master’s Degree in mathematics), the University of Leeds in the United Kingdom (Master of Science in mathematics), and INSEAD in France (MBA).

He has many years of experience in financial management, risk management, and strategic management. At present, he is the Vice-President of the Management Board for Finance at KGHM Polska Miedź S.A. Earlier he served as the Vice President of the Management Board of FM Bank/Polski Bank Przedsiębiorczości and the bank Powszechna Kasa Oszczędności Bank Polski S.A. responsible for risk management. He was also the Finance Director at Europejski Fundusz Leasingowy S.A. and the ALCO Director at Lukas Bank S.A. He also worked in Bank Handlowy S.A. at various positions related to risk and strategy management and at McKinsey & Company Poland sp. z o.o. as a consultant. He has experience in supervising commercial companies and partnerships.

Author of articles on economic issues and a novel about Polish privatization.
